Standard Terms and Conditions for the Supply of Goods and Services From Easy2pc Ltd.
1. Application
1.1 On receipt of an order Easy2pc Ltd will fulfil the contract subject to the provisions of these Terms and Conditions to the exclusion of all other terms and conditions.
1.2 From time to time these Terms and Conditions will be updated. You are expected to let us know if you would like to be informed when updates occur.
1.3 These Terms and Conditions are deemed to have been accepted by you when you place an order with Easy2pc Ltd
1.4 If any part of these terms and conditions shall be invalid or unenforceable then any other parts shall remain in full force and effect.
2. Order and Contract
2.1 All prices are subject to VAT at the prevailing rate.
2.2 The description of goods and services shall be as set out in our offer to supply.
2.3 Easy2pc Ltd has the right and sole discretion to decline to carry out any service.
2.4 Purchase orders shall be deemed to be accepted and binding when we contact you to confirm acceptance either by telephone, e-mail or fax.
2.5 Easy2pc Ltd is entitled to withdraw from any contract in the case of obvious errors or inaccuracies regarding the goods or services or the order or for reasons of unavailability.
2.6 Easy2pc Ltd reserves the right to place restrictions on the volume of any goods ordered.
2.7 All products and services are subject to availability, E&EO. Such information is subject to change without notice.
2.8 If following our Purchase Order Acknowledgement (POA) goods are unavailable or if Easy2pc Ltd needs to vary the price due to supplier price increases or exchange rate fluctuations then Easy2pc Ltd shall notify you to allow you the opportunity to cancel your order if Easy2pc Ltd has not done so itself.
2.9 A Purchase Order Acknowledgement (POA) may only be changed when agreed by both parties.
2.10 All drawings, descriptive matter, specifications and advertising issued by Easy2pc Ltd and any descriptions or illustrations contained in/on our web site(s) are issued or published for the sole purpose of giving an approximate idea of the goods and services described in them. They will not form part of a contract.
2.11 Easy2pc Ltd shall be free to sub-contract or otherwise deal with the whole or any part of the contract. We may at any time transfer or assign all or any rights and/or obligations or any part of it to any person, firm or company.
3. Quotation and Price
The Customer agrees:
3.1 The quotation will remain open for acceptance for 28 days from the Quotation Date.
3.2 The quotation for parts is a fixed price and labour charges are charged at our standard rate of £50.00 Per Man Hour but Easy2pc Ltd is entitled to increase the price after acceptance if the performance of the contract becomes substantially more onerous for us to carry out.
3.3 The increase in price shall be limited to the extra Labour cost occasioned to Easy2pc Ltd in carrying out the contract.
3.4 The total charge to you will be the time spent carrying out the work. It will include all reasonable time spent in obtaining materials. Easy2pc Ltd also reserves the right to make additional charges for additional labour and mileage time and expenses in accordance with the Schedule of Rates.
3.5 Unless explicitly agreed in writing we cannot guarantee to work within ceiling limits, while we will undertake all reasonable care to ensure compliance, you accept any additional costs.
3.6 Dates specified for the commencement and completion of works are estimates only and shall not form the essence of the contract.
3.7 Where all consideration is given to the evaluation or work duration, all reasonable precaution will be taken to avoid additional costs. It is however agreed and a condition of these terms and condtions that should further work be necessary to complete the contract for whatever reason, to sanction the necessary extension we have your authority (without reference to you), to extend the working day or re-attend to complete the works. Additional man hours will be charged in accordance with our Standard Labour rates.
3.8 Easy2pc Ltd will not be responsible for the cost of additional labour when working on Site in tasks classified as Non-lone Working Tasks. The supply of such additional labour to assist in these circumstances will be charged in addition to the price stated in the Contract and shall be in-line with Our Standard Labour Rates.
3.9 Easy2pc Ltd may use sub-contract labour for specialist skills or to complete a project.
3.10 Works undertaken outside of Easy2pc Ltd office hours are charged at 1.5 times the Standard Labour Rates.
3.11 To pay any Labour Charges levied when no faults were found with the equipment after investigation, despite a fault being reported.
3.12 To pay any Labour Charges levied where a site visit has been undertaken but you have been unable to provide access to the equipment or provide a person with knowledge of the reported fault resulting in any Easy2pc Ltd servant, agent or sub-contractor leaving site without works being undertaken.
3.13 Easy2pc Ltd shall not be liable for making good defects in the electricity supply, or other networks provider's services and connections and/or host systems. Service calls for these purposes will be charged to you at our Standard Labour Rates.
3.14 Easy2pc Ltd shall not be liable for repair of damage resulting from accident, transportation, neglect or misuse, failures of electrical power, surge of electrical power, electrical storms or causes other than ordinary use. Service calls for these purposes will be charged at the Standard Labour Rates.
4. Delivery
4.1 Applicable delivery charges will be advised in our offer to supply.
4.2 Delivery dates are an estimate and shall not be made of the essence by notice. If delivery dates are not specified then delivery will be within a reasonable time. We will not be liable for any loss, costs, damages, charges or expenses caused directly or indirectly by any delay in the delivery of the goods nor will any delay entitle you to terminate or rescind the order unless such delay exceeds 7 working days.
4.3 All risk for the goods will pass to you on receipt of the goods.
4.4 It is the responsibility of the customer to package correctly, organise and pay for the shipping of goods being returned to Easy2pc Ltd.
5. Invoicing and Payment
5.1 Prices/charges and payment terms are as specified in our offer to supply and/or your invoice.
5.2 Payment shall be made in UK pounds sterling. Only cheque's, drafts or other payment instructions drawn on a bank trading in the UK are acceptable unless otherwise agreed. All credit and debit card transactions will incur a 5% surcharge to cover our costs.
5.2.1 Quotations and the acceptance of contract are based on the customer providing and official order number issued by an authorised person.
5.2.2 Deposits and final payments are subject to the standard terms set out below.
- 55% of quotation with the order.
- 30% on commencement of the contract
- 15% within 30 days after completion of the contract
5.2.3 Unless different payment terms are offered in the quotation, 5.2.2 will be deemed to be accepted as the standard deposit and payment terms of Easy2pc Ltd.
5.3 All goods and service/repair parts will remain the property of Easy2pc Ltd until payment has been made in full and the customer shall remain a bailee only until payment is made.
5.4 You shall make all payments due under the contract without any deduction whether by way of set-off, counterclaim, discount, abatement or otherwise unless you have a valid court order requiring an amount equal to such deduction to be paid by Easy2pc Ltd to you.
5.5 Easy2pc reserves the right at any time during the term of the agreement to suspend services and to withdraw access to a web site if payment is withheld until such time that outstanding debts including relevant interest charges (if applicable) are collected in full. Equally Easy2pc Ltd can then subsequently demand full payment in advance for the duration of the contract to supply said services if it then feels it is deemed necessary.
5.6 Any account outstanding beyond our credit terms may be passed out of hand to our debt recovery agents. Accounts that are passed will be subject to a surcharge of 15% to cover the cost incurred. Such accounts will also be subject to any other costs incurred in obtaining settlement.
5.7 We have the right to charge interest as per the 1998 act for Late Payments ofCommercial Debts. A credit charge of 8% above the Lloyds TSB lending rate for the period due date to settlement date may be made if an invoice is not paid by the due date. Easy2pc Ltd reserves the right to vary the rate of interest charged.
5.8 Complaints and disputes must be notified by the customer to Easy2pc Ltd in writing within 7 days of the date on the invoice.
6. Title of Goods
6.1 Goods and services supplied and delivered by us to you, or your premises shall remain our property until paid for by you in full. Whilst goods and services remain our property (we shall continue to have title over them), we have the absolute authority to retake, sell or otherwise dispose of all or any part of these goods or services. We shall be entitled to seek a court injunction to prevent you from selling, transferring, or otherwise disposing of such goods. However once goods have been delivered, it will be your responsibility to keep them safe and secure. Goods damaged through your negligence will be charged for.
7. Termination
7.1 Termination of the agreement shall not affect any obligation or liability of any party which has accrued at the date of termination.
7.2 In respect of any other accrued rights, neither party shall be under any further obligation to the other.
7.3 In the case of cancellation of a purchase order where work is in progress, all work to the date of cancellation will be chargeable.
7.4 Easy2pc reserves the right at any time during the term of the agreement to withdraw the service and/or access to a web site in the event that we consider the information being displayed breaches any applicable laws or the rights of any third party or is prejudicial to the interests of Easy2pc Ltd
7.5 Offers will state if a service to be provided is by a third party company. Purchase orders for third party services cannot be cancelled within the minimum contract period, normally 12 months. The responsibility for support, performance and reliability is with the actual provider of the service(s) unless otherwise specified in our offer.
8. Warranties
8.1 Goods are supplied with a minimum 12 months manufacturer's warranty. In many instances the goods are supplied with a manufacturers warranty card which will need to be completed and returned to the manufacturer by you to register your purchase.
8.2 All claims after 28 days from date of invoice should be directed to the manufacturer.
8.3 Return To Base (RTB) denotes return to manufacturers base.
8.4 Physical damage is not covered by guarantee.
8.5 Any alteration to the equipment not authorised by Easy2pc Ltd shall constitute a waiver by you of the guarantee.
8.6 Network installations are supplied as hardware plus installation labour. They are supplied without support or onsite response warranty unless otherwise specified on our offer.
9. Returns
9.1 Prior to returning goods you must notify Easy2pc Ltd by email stating your invoice number, product and fault details. A Returns Material Authorisation (RMA) number will be issued by Easy2pc Ltd which is to be clearly written on the packaging.
9.2 Products being returned must be packaged accordingly, ideally in the manufacturer's original packaging. Easy2pc Ltd reserves the right to refuse to accept incorrectly packaged goods. Goods must be returned complete with all pieces as originally supplied.
9.3 Within a period of 14 working days Easy2pc Ltd will report their "fault" findings to you.
9.4 We will not accept claims for goods arriving in a damaged condition. Products that arrive with packaging damage should be refused.
9.5 No refunds or exchanges will be made until goods have been received by Easy2pc Ltd for your own protection it is advisable to obtain a receipt when posting returns and to pack items carefully to avoid damage.
9.6 Faulty goods may be returned to the supplier or manufacturer for investigation by Easy2pc Ltd. They will repair or replace components found to be faulty at their discretion.
9.7 Easy2pc Ltd shall use reasonable efforts to replace damaged or defective goods but if replacement is not possible, or if an order is cancelled for any other reason then Easy2pc's Ltd only obligation is to refund the full amount paid by you. This does not affect your statutory rights.
9.8 Goods lost in transit will be subject to investigation by the company used for transit. If investigation shows your claim to be valid then a replacement consignment will be dispatched in due course.
9.9 Easy2pc Ltd will always give full consideration to any complaint received but liability will be limited in all circumstances to the refund of monies received or to the supply of satisfactory goods.
9.10 We reserve the right to charge a handling fee of up to 50% of the original purchase price for goods that are returned and following inspection are found not to be faulty.
10. Liability and Insurance
10.1 Easy2pc Ltd accepts no liability for any delay, damage, costs or any other loss how so ever caused, arising from any matter relating to Easy2pc Ltd if these are outside our reasonable control.
10.2 Easy2pc Ltd accepts no responsibility for any mistakes or errors that arise during the course of any service and shall not be liable for any loss of information or data or any damage thereto or any loss of profit by any indirect, special or consequential loss whether caused by the negligence of Easy2pc Ltd its employees or agents.
10.3 It is the sole responsibility of you to check all goods and services as Easy2pc Ltd cannot be held liable for any failures in this element of the service.
10.4 Easy2pc Ltd will not be liable for any loss of data, copy, artwork, photographs or other materials which you supply to us. You are responsible for retaining such materials for whatsoever purposes you may require.
10.5 Easy2pc Ltd expressly excludes any liability for any data held on equipment for repair or any costs incurred due to lost data. Data may be overwritten during the repair process. We recommend that any valuable data is copied/ removed before the item is sent for repair.
10.6 You hereby undertake to keep Easy2pc Ltd fully and effectively indemnified against any liability which Easy2pc Ltd may suffer or incur.
11. Force Majeure
11.1 Easy2pc Ltd shall not be liable for any delay or failure in performance of any part of this agreement to the extent that such delay or failure is caused by transportation, fire, flood, explosion, accident, war, strike, embargo, governmental requirement, civil or military authority, Act of God, civil unrest, inability to secure materials or labour or any other causes beyond our reasonable control or beyond the control of that of our servants or agents. Any such delay or failure shall suspend this agreement until the Force Majeure ceases and the original contract for goods and/or service(s) shall be extended by the length of the suspension.
12. Confidentiality
12.1 Any information you provide to Easy2pc Ltd including account and credit card details, is stored in a manner approved by Data Protection legislation and we enforce strict internal security procedures to ensure compliance and prevent unauthorised access.
12.2 Other than as necessary to fulfil your order we will not disclose your personal information, any secret or confidential information to any third party without your written consent or unless we are required to do so by law.
13. Jurisdiction
13.1 All aspects of contracts between you and Easy2pc Ltd shall be governed and construed in accordance with the English law, and in the event of any dispute the parties submit to the exclusive jurisdiction of the English court.
